About the Role
As a Legal Compliance Officer, you will report to the General Counsel and form part of the Emerald Clinical Legal team.
Your primary responsibilities shall include company and corporate governance, and compliance matters for the whole Group covering the Asia Pacific region, EU and the USA. This role offers the opportunity to work in a fast-paced, dynamic environment, collaborating with cross-functional teams to support compliance.
Your Responsibilities
1. Corporate Governance & Corporate Affairs (primary ownership and coordination of):
Global entity management and corporate records
Board and shareholder matters
Corporate governance framework
Director and officer appointments/resignations
Company secretarial oversight and coordination with external providers
Statutory filing governance and monitoring
2. Compliance & Ethics Framework
Regulatory licenses, Policy governance and management
Compliance training and awareness
Gifts and hospitality processes
Third-party due diligence
Whistleblower program administration
3. Supporting and assisting the Group General Counsel with other legal matters:
Employment/HR matters (coordination with external counsel, HR policy revision etc)
New country expansions, restructures, reorganisations, M&A
Global facilities management (leases, extensions, terminations, dealing with landlords, brokers etc)
Corporate insurance portfolio
This role will suit a lawyer with 2-3 years hands on experience in corporate/company governance and compliance matters within the APAC, EU/UK and the USA, used to dealing with multiple jurisdictions, cross border matters and having excellent communication skills in English.
About You
Proven hands-on experience (2-3 years) in corporate/company governance and compliance roles gained in fast paced multinational regulated business environment (prior experience within pharma/life science/CRO environment would be advantageous but not essential to the role);
Proven relevant experience in the regions where Emerald business operations are focused namely, APAC, the USA and EU;
Strong drafting skills for company BOD/ shareholder resolutions, articles/by-laws, other relevant corporate documents;
Proven track in drafting internal corporate compliance policies;
Impeccable attention to detail, ability to prioritise and high organizational skills are a must;
Excellent communication skills — able to translate complex legal and technical issues for non‑legal audiences, senior executives and regulators;
Ability to work independently, remote contract basis while coordinating effectively with EU, the USA and APAC teams; availability to cover US and EU business hours is required;
· Degree in Law, Business or related field with additional qualifications or training in company secretary role.
